The Governance mechanism shall include the constitution of a CSR Committee consisting of the following:

The above Committee shall, from time to time, identify and authorise programs in accordance with the Policy Statement and oversee their implementation.
The Committee shall keep the Board of Directors informed about the activities and the progress made. Suitable organization structure may be created for the smooth conduct of such activities.
The Committee will propose and get approval from the Board of Directors the budget for the proposed programs & activities.
The Committee shall ensure that the programs & activities undertaken, and the amounts spent fulfill the statutory requirements under Section 135 of the Companies Act, 2013.
All programs, whether implemented directly by the Company or indirectly by funding other organizations, shall be evaluated on objective criteria in terms of impact made on the beneficiaries and the environment.
All programs shall be monitored and information regarding the same would be shared through structured reporting.
